An industrial property right can be transferred to a third party (assignment) or exploited by a third party with the owner’s permission (licence). In both cases, a precise agreement protects the interests of each party.

ASK-IP drafts agreements assigning industrial property rights and licence agreements covering trademarks, patents, industrial designs and other titles, and assists you with the resulting formalities.

What we do

  • Drafting of agreements assigning industrial property rights
  • Drafting of licence agreements
  • Verification of the status of the titles concerned
  • Advice on the terms: scope, duration, territory, consideration
  • Support with recording the agreements before the competent office, in line with the applicable procedures

Assignment agreements

An assignment transfers ownership of the right to a new owner, in whole or in part. The agreement precisely identifies the title assigned, the goods, services or applications concerned and the terms of the transfer.

Licence agreements

A licence authorises a third party to exploit the right without transferring ownership. The agreement sets out, in particular, whether it is exclusive, its duration, territory, conditions of use and the owner’s remuneration.

The information on this page is general. It does not constitute legal advice and does not prejudge the outcome of any procedure, which depends on each case and on the applicable law.
